1. Agreement
By installing or using Navelis Gift, the Shopify merchant agrees to these terms, the Gift privacy policy and the data protection agreement below. A person installing for an organization represents that they are authorized to bind it. If these terms change materially, Navelis will give appropriate notice; continued use after the effective date constitutes acceptance where permitted by law. An existing installation predating this version requires notice of these terms before Navelis relies on acceptance of the updated agreement.
2. Service and billing
Gift lets a merchant configure promotional gift campaigns, customer choice, storefront presentation, Shopify discounts and gift reporting. The merchant controls whether and when a campaign is activated. Plan limits, prices and any trial are shown before a Shopify charge is approved. Gift does not impose automatic paid overages. The merchant can end use by uninstalling the app.
Gift does not guarantee that a gift remains free if campaign eligibility changes after a checkout has already opened. The merchant should test its theme, cart and checkout, monitor live offers and address any order in which a gift was unexpectedly charged. Gift does not block native cart operations or the customer's checkout when Gift is unavailable.
3. Merchant responsibilities
The merchant chooses gift products, campaign rules, discounts, customer audiences and storefront copy. It must ensure that promotions and use of shopper data have a valid legal basis, provide shoppers with the required notices and choices, configure Shopify Customer Privacy where applicable, check inventory and final checkout prices, and handle customer support, refunds and statutory obligations. The merchant secures its Shopify accounts and authorizes only appropriate staff.
4. Acceptable use
Do not use Gift for unlawful or deceptive promotions, interfere with its security, access another merchant's data, or upload harmful material. Navelis may suspend access where reasonably necessary for security, unlawful use or a material breach.
5. Data protection agreement
This section governs personal data that Gift processes for the merchant. The merchant is the controller or business; Navelis is the processor or service provider. The subject matter is operation of merchant-configured gift campaigns. Processing lasts while Gift is installed, plus the deletion and backup periods stated in the privacy policy. The categories are shopper identifiers and order facts needed for eligibility, order/gift events and pseudonymous gift metrics; the data subjects are the merchant's shoppers and prospective shoppers. Merchant staff account and contact data may also be processed for operating the service.
The merchant instructs Navelis through Shopify installation, enabled scopes and app settings. Navelis will process the merchant's customer data only on those documented instructions and as needed to provide, secure and support Gift, unless applicable law requires otherwise. Navelis will notify the merchant if an instruction appears to breach applicable data-protection law, to the extent legally permitted. Navelis will not sell the merchant's customer data or use it for Navelis advertising.
Navelis limits access to authorized persons under confidentiality duties, applies appropriate technical and organizational safeguards, and assists the merchant with data-subject requests, security incidents and information needed for privacy assessments to the extent applicable to Gift. Navelis will notify the merchant without undue delay after becoming aware of a personal-data breach affecting data processed for that merchant, and provide information reasonably available to it. Each party remains responsible for its own legal duties.
The merchant generally authorizes OVHcloud hosting and providers needed for contact, security and encrypted backup operations as described in the privacy policy. Navelis will impose suitable data-protection and confidentiality obligations on subprocessors and remain responsible for their performance. Navelis will provide notice of material new subprocessors where required and a reasonable opportunity to object. International transfers will use the applicable lawful mechanism where required. The merchant may request the current subprocessor list through the Gift privacy form. Shopify provides the commerce platform under its own agreements with the merchant.
On termination or valid deletion instruction, Navelis will delete or return the merchant's live customer data, unless retention is required by law or necessary within the documented backup expiry and replay-suppression limits. Navelis will make reasonable compliance information available and support an audit or equivalent review where required by applicable law, subject to confidentiality and security safeguards.
6. Availability and security
Gift is provided on an as-available basis. Navelis applies the security measures described in its privacy policy and seeks to restore service after incidents. Shopify, merchant themes and third-party systems are outside Navelis's direct control.
7. Termination and liability
Uninstalling Gift ends service and starts the deletion process described in the privacy policy. Navelis is not responsible for merchant-provided campaign content or decisions, Shopify outages, or failures beyond its reasonable control. Nothing here excludes or limits liability where prohibited by applicable law.
8. Governing law
These terms are governed by French law. Subject to mandatory rules applicable to the merchant, disputes fall within the jurisdiction of the competent French courts.
